On July 31, 2026, Circle Internet Group, Inc. (NYSE: CRCL) announced that it has received a limited purpose trust charter from the New York Department of Financial Services (NYDFS) for its subsidiary Circle Internet Trust Company LLC, doing business as Circle New York Trust. The new charter strengthens the regulatory foundation for Circle and USDC.

Circle Secures Limited-Purpose Trust Charter from NYDFS

Circle, a global financial technology company and stablecoin market leader, has been granted a limited-purpose trust charter by the NYDFS for Circle New York Trust. The approval bolsters the company’s regulatory foundation in New York, which the company calls its global headquarters.

Additionally, the new charter strengthens regulation of Circle’s USDC stablecoin and will broaden the company’s regulated financial operations. It comes only weeks after Circle received final approval from the Office of the Comptroller of the Currency (OCC) to establish a national trust bank.

Federal and State Approvals Strengthen Circle’s Regulatory Standing 

Circle has now secured complementary federal and state regulatory approvals, providing a solid regulatory dual framework for operations and the USDC stablecoin. On July 10, 2026, OCC issued the approval, establishing First National Digital Currency Bank, N.A. as Circle National Trust under OCC’s federal oversight to operate as a fiduciary custodian of digital assets.

Furthermore, it builds directly on Circle’s pioneering 2015 BitLicense from the NYDFS, the first such license granted by the agency, marking over a decade of regulatory engagement with New York. When combined, these licenses make the company one of the most heavily regulated digital asset companies in the United States.

What Circle’s New Trust Charter Means for USDC Adoption

The limited-purpose trust charter strengthens  the regulatory foundation supporting USDC and is expected to facilitate wider institutional and global adoption of the stablecoin. Institutions gain confidence that USDC operates under some of the strictest U.S. oversight standards, comparable to traditional financial instruments.

Jeremy Allaire, Co-Founder, Chairman, and CEO of Circle emphasized that the move positions USDC “within a strong, respected framework as digital dollars become central to the global financial system.” The improved compliance and transparency over reserves and operations is expected to drive faster enterprise and institutional onboarding, especially in industries where auditability and regulatory alignment are crucial.

Moreover, a regulatory approval does not ensure that there would be immediate growth of market share. However, it reduces uncertainty about USDC’s legal and operational status, which has been a major barrier to institutional use. This positions USDC to capture a larger share of both on-chain activity and traditional financial transactions as the use of digital dollars expands.
