Armada Acquisition Corp. II shareholders will vote on September 30, 2026, on a proposed merger with Evernorth, bringing a possible institutional catalyst into the XRP price outlook. The transaction would give public-market investors access to an actively managed XRP treasury, with financing and a planned Nasdaq listing dependent on completion.
According to CoinMarketCap data, at the time of writing, XRP traded at $1.48, down by 4.13% over the past 24 hours, with trading volume of approximately $3.58 billion.
XRP Price Outlook Centers on September 30 Merger Vote
If approved, the merger would allow the combined company to list on Nasdaq under the ticker XRPN, subject to closing conditions. The September 30 vote represents a key milestone, with the transaction expected to close in Q4 2026 if all requirements are met.
Financing follows that same sequence. Evernorth agreed to issue $30 million in 4% convertible senior payment-in-kind notes due 2031. NH Investment & Securities entered the agreement as trustee for Kyobo AIM Corporate Finance General Private Investment Trust No. 3.
The note issuance will close upon completion of the business combination. A September filing places the expected merger closing in the fourth quarter of 2026.
Evernorth Targets Institutional Access and XRP Per Share
Through the proposed structure, investors would gain exposure to Evernorth’s XRP strategy through publicly traded shares, while the company would manage the underlying treasury.
Evernorth plans to actively deploy capital through yield strategies, network participation, and capital-markets activities. Its stated objective is to increase XRP per share over time, extending the model beyond token accumulation.
